Project MEGSSS is an education-based nonprofit that has been a haven for mathematically-talented middle school students in the St. Louis area since 1981.  Our mission is “To discover, inspire, and develop the talents of middle school students with extraordinary gifts in mathematics.”  With a highly-qualified faculty working with a superior curriculum, we offer an academic challenge beyond traditional middle school offerings to talented secondary school students.

Overview

As members of the board of a small nonprofit organization, MEGSSS Board members serve in a unique capacity – they are members of the organization’s key decision-making body AND they are the major volunteer workers who help provide the service and funding needed to support the programming and governance decisions they make as board members.

Members of the Board of Directors have comparable fiduciary duties to MEGSSS as would a director of a for-profit corporation, such the duties of due care and loyalty to the organization. Board Members must have a strong personal commitment to the mission of the organization and be willing to devote skills in the areas of creativity, leadership, community awareness, image building, and resource development to the betterment of the organization.  Current members are expected to make a financial contribution (no annual minimum) to the organization and to serve in some constructive capacity. 

Functions/Responsibilities

Provide oversight of executive staff, including selecting and evaluating key staff members against individual and organizational objectives, setting compensation, and, where necessary, dismissing and replacing executive staff members.

Provide financial oversight, including reviewing and approving the annual budget, reviewing and approving extraordinary expenses, and ensuring adequate resources are available to execute the organization’s short and long-term objectives.

Assist with organizational planning and strengthening program services, including establishing short and long term objectives, reviewing key staff decisions, setting policy on various matters, ensuring adequate succession for the Board of Directors, and enhancing the organization’s standing in the community.

Maintain the highest ethical standards and adhere to the MEGSSS Conflict of Interest

Reports to Project MEGSSS, Inc. membership (MEGSSS families with children participating in the program)

Expectations

Directors must commit to attending monthly Board meetings.  Directors who miss more than three Board meetings in a fiscal year without good excuse may be asked to resign from the Board.

Directors should participate actively in at least one of the keyboard functions (e.g. strategic planning, financial oversight, academic oversight, etc.).

It is important that financial development is led by Board of Directors to demonstrate a commitment to other potential donors and granting organizations.  Therefore, MEGSSS Directors should strive to support the organization financially through either personal financial and/or in-kind donations, seeking matching donations from employers, seeking donations from potential donors in the community, or all of the above.

Support the recruitment of new Board members by helping to identify the needs of the organization and potential members who have the qualifications to support those needs.

As a general guideline, it is expected that Directors will need to devote approximately 10 hours per month on average, including meeting preparation and attendance, to MEGSSS activities. Please contact exec@megsss.org.
